(“AGP”), has filed a Registration Statement on Form S-1 with the Securities and Exchange Commission in connection with its proposed continuous public offering of common units representing limited partner interests in AGP. The common units will not initially be listed on any national securities exchanges. The offering of common units will be made only by means of a prospectus.
