PERTH, Western Australia, May 14, 2014 /CNW/ – Further to Aurora Oil & Gas Limited’s (“Aurora“) (ASX:AUT, TSX:AEF) recent announcement that Baytex Energy Corp. (“Baytex“) has increased to AU$4.20 per share the price it is offering to all Aurora shareholders under the scheme of arrangement under which it proposes to acquire, through its wholly owned subsidiary Baytex Energy Australia Pty Ltd (“Baytex Australia“), all of the shares in Aurora (the “Scheme“).
- a revised notice of meeting for the Scheme meeting in respect of the increased offer; and
- a letter to shareholders providing information relevant to the increased offer and the Scheme generally.
Copies of the revised notice and letter will be sent to registered shareholders.
Aurora notes that ASIC has reviewed the supplementary materials and has confirmed that they do not object to them. Aurora also notes that the Court this morning has made orders that the Scheme meeting should proceed in accordance with the revised notice of meeting that will be filed with SEDAR, the Court’s orders of 14 April 2014 and the Court’s orders of today. The Court has also ordered that valid proxy forms for the Scheme meeting that have been lodged by any Aurora Shareholder are deemed still to be valid unless revoked, and members who vote or who have voted in favour of the Scheme are deemed to have voted in favour of the two resolutions in the revised notice of meeting.
