Terra Energy Announces Private Placement of up to $1.25 Million of Units and Flow-Through Shares

CALGARY, ALBERTA–(Marketwired – Feb. 21, 2014) – Terra Energy Corp. (“Terra” or the “Company”) (TSX:TT) is pleased to announce that is intends to complete a non-brokered private placement offering of up to an aggregate of 3,125,000 units of the Company (“Units”) and common shares of the Company to be issued on a “flow-through” basis (“Flow-Through Shares”), a price of $0.40 per Unit and $0.40 per Flow-Through Share, resulting in gross proceeds of up to $1.25 million (the “Offering”).

Each Unit shall consist of one common share of the Company (“Common Share”) and one Common Share purchase warrant of the Company (“Warrant”). Each Warrant will be exercisable into one Common Share at a price of $0.50 per Common Share on or before June 30, 2015.

The gross proceeds of the Flow-Through Shares will be used by the Company to incur eligible Canadian development expenses (“Qualifying Expenditures”) prior to December 31, 2015 on Terra’s properties. The Company will renounce the Qualifying Expenditures to subscribers of the Flow-Through Shares for the fiscal year ended December 31, 2014. The net proceeds of the Units will be used to partially fund Terra’s 2014 capital expenditure programs and for general working capital purposes.

Closing of the Offering is subject to certain conditions including, but not limited to, the receipt of all necessary regulatory approvals, including the approval of the Toronto Stock Exchange. Insiders of the Company will be participating in the Offering. It is currently anticipated that insiders will subscribe for approximately $595,000 of Units and Flow-Through Shares under the Offering. Closing of the Offering is expected to occur on or about February 25, 2014. All Flow-Through Shares and securities comprising the Units issued pursuant to the Offering will be subject to a four-month hold period. Certain arm’s length eligible persons may receive a cash fee in connection with the Offering of up to 5% of the gross proceeds of the sale of the Units or Flow-Through Shares.
