CALGARY, ALBERTA–(Marketwired – March 6, 2014) – Gear Energy Ltd. (“Gear” or the “Company”) (TSX:GXE) is pleased to announce that it has entered into an agreement with a syndicate of underwriters co-led by FirstEnergy Capital Corp. and Peters & Co. Limited and including RBC Capital Markets Inc., GMP Securities L.P., Haywood Securities Inc. and AltaCorp. Capital Inc. (together, the “Underwriters”) under which they have agreed to purchase for resale to the public, on a bought deal basis, 12,500,000 common shares of Gear (“Common Shares”) at $4.00 per share for aggregate gross proceeds of $50,000,000. The offering will be completed by way of a short form prospectus that will be filed in each of British Columbia, Alberta, Saskatchewan, Manitoba and Ontario.
In addition, the Underwriters have been granted an over-allotment option, which may be exercised in whole or in part up to 30 days after closing of the offering, to purchase up to 1,875,000 additional Common Shares at a price of $4.00 per Common Share. If the over-allotment is fully exercised, gross proceeds from the offering will be approximately $57,500,000.
The Company intends to use the net proceeds from the offering to fund ongoing capital expenditures and for general corporate purposes.
The offering is scheduled to close on or about March 28, 2014 and is subject to the customary conditions including receipt of all necessary regulatory and stock exchange approvals.
