Primeline Issues 760,881 Shares to GRF

HONG KONG, CHINA–(Marketwired – Dec. 15, 2015) –

NOT FOR DISTRIBUTION TO U.S. NEWS WIRES SERVICES, OR DISSEMINATION IN THE UNITED STATES.

Primeline Energy Holdings Inc. (“Primeline” or the “Company“) (TSX VENTURE:PEH) today announced that it will now issue 760,881 new Ordinary Shares of Primeline (“Shares“) to GRF Prime Limited (“GRF“) in payment of a portion of interest accrued on US$10,000,000 principal amount Tranche A Convertible Bonds and on US$8,000,000 principal amount Tranche B Convertible Bonds (collectively the “Bonds“) issued on August 14 and November 10, respectively to GRF. GRF is a resources fund managed by GEMS Investment Management Limited of Hong Kong,

Interest is payable on the Bonds quarterly at 7% per annum, of which 4.5% is payable in cash and 2.5% in Shares. The Shares will be issued at a deemed price per Share of $0.1479, which is equal to the higher of the closing price of the Shares on the day before, and the volume-weighted average TSX-V trading price of the Shares for the ten days preceding, the interest payment date of December 15, 2015.

Upon completion of the issue, Primeline will have 179,571,932 shares issued and outstanding.
