CALGARY, ALBERTA–(Marketwired – March 11, 2016) – Rock Energy Inc. (TSX:RE) (“Rock” or the “Corporation“) and FrontFour Capital Group LLC (“FrontFour“) jointly announce that the special meeting of shareholders of Rock that was requisitioned by a fund managed by FrontFour will not be held on April 8, 2016 as previously announced, and that the parties have agreed that Rock will postpone the requisitioned meeting until June 15, 2016, which will also serve as the Corporation’s annual meeting of shareholders (the “Meeting”). The record date for purposes of determining those shareholders entitled to receive notice of and to vote at the Meeting will be May 11, 2016.
At the Meeting, shareholders of record as of the close of business on May 11, 2016 will be asked to consider, in addition to certain other annual matters, the fixing of the number of directors to be elected at the Meeting at five and the election of five directors from among five nominees of Rock and three nominees of FrontFour.
The Corporation and FrontFour agreed to change the date of the shareholders meeting to allow the Corporation additional time to focus on the strategic review process initiated by the Board of Directors of the Corporation on December 15, 2015.
As disclosed previously, it is the Corporation’s current intention not to disclose developments with respect to the strategic review process until the Board of Directors has approved a specific transaction or otherwise determines that disclosure is necessary or appropriate. Rock cautions that there are no assurances or guarantees that the process will result in a transaction and that, if a transaction is undertaken, no assurances or guarantees may be given with respect to the type, terms or timing of such a transaction.
