(NYSE MKT: GST) (“Gastar” or the “Company”) announced today that it will hold a special meeting of stockholders on May 2, 2017 at which the Company’s stockholders will consider and vote upon a proposal to approve the conversion rights of its Convertible Notes due 2022 issued to Ares Management, L.P. (the “Notes”), which such Notes will be convertible into common stock, par value $0.001 per share of the Company (the “Common Stock”) or, in certain circumstances, cash in lieu of Common Stock or a combination of cash and shares of Common Stock. The proposal is being voted upon pursuant to the listing standards of the NYSE MKT stock exchange.
Company common stockholders of record as of the close of business on March 30, 2017, will be entitled to notice of, and to vote at, the special meeting, except, in accordance with NYSE MKT policy, holders of common stock issued to funds managed by affiliates of Ares Management, L.P. on March 3, 2017 will not be entitled to vote on the proposal.
