Tribute Resources Inc. Announces the Expiration of the Term Sheet and Proposed Share Swap with Tocardo International BV

London, Ontario (FSCwire) – Tribute Resources Inc. (TSX-V:TRB) (“Tribute”), announces the expiration of the Term Sheet executed July 31, 2017 between Tribute and Tocardo International BV (“Tocardo”) which Term Sheet was press released by Tribute on August 3, 2017.  The Term Sheet which has now expired outlined terms for a share exchange of Tribute shares for the remaining 53.5% of the issued and outstanding shares of Tocardo, a Dutch founded and based company and global leader in tidal energy solutions.  Tribure and Tocardo have been unable to reach agreement on the final definitive agreements required to facilitate the share swap and therefore as at this time the share swap with Tocardo will not be proceeding. 

Tribute currently owns 46.5% of the issued and outstanding shares in the capital of Tocardo and will continue to hold these shaers. 

 

Tribute is currently evaluating their options with respect to the Nova Scotian tidal projects.  It remains possible that Tocardo will be chosen as the turbine supplier for the Minas Tidal Project under an engineer, procure, construct arrangement. 

Tocardo is a tidal and free-flow water turbine producer located in Den Oever, the Netherlands.  Tocardo offices and staff will remain in Den Oever following the completion of the share exchange.  Tocardo has been developing and deploying its tidal turbines in rivers and ocean environments for over a decade with eight turbines currently deployed and operating in the Netherlands and a contract for 5 turbines at the European Marine Energy Centre (“EMEC”).  Tocardo is active in the design and production of tidal energy turbines and foundation systems as well as providing installation, operation, and maintenance services.
