Manitok Energy Inc. Announces Changes to Its Board and Board Committees

CALGARY, ALBERTA–(Marketwired – Aug. 12, 2014) – As a result of the votes cast at the June 2014 annual and special meeting of shareholders (the “Shareholders Meeting“) of Manitok Energy Inc. (the “Corporation” or “Manitok“) (TSX VENTURE:MEI) and a subsequent Manitok board of directors (the “Board“) resolution to add another member to the Board, Manitok has altered the composition of its Board and Board committees in order to maintain its high standard of corporate governance as the Corporation continues to grow in the future. Manitok is pleased to announce that Mr. Dennis L. Nerland and Mr. R. Keith MacLeod have joined the Board while Mr. Robert J. Dales did not seek re-election as a director of the Corporation at the Shareholders Meeting.

Mr. Nerland has been a partner with the law firm Shea Nerland Calnan LLP since 1990, practicing primarily in the areas of tax and trust law. Mr. Nerland is a current and past director of a number of private and public companies listed on the TSX Venture Exchange (“TSX-V“) and the Toronto Stock Exchange (“TSX“) and is currently a trustee of a number of private investment trusts. He holds the ICD.D designation from the Institute of Corporation Directors. Mr. Nerland was awarded a Queen’s Counsel status in 2014.

Mr. MacLeod is a professional engineer with more than thirty years of experience in the oil and gas industry in Alberta. He was a director, partner and Chief Executive Officer of Sproule Associates Limited, a worldwide petroleum consulting firm, until his retirement on June 30, 2014. Mr. MacLeod has expertise in the areas of petroleum engineering, property and corporate reserves and resource evaluations, acquisitions and divestitures, National Instrument 51-101 and Securities Exchange Commission reports, arbitration, litigation and investment advice. Mr. MacLeod is a member of the Association of Professional Engineers and Geoscientists of Alberta (APEGA), the Society of Petroleum Evaluation Engineers (SPEE) and the Society of Petroleum Engineers (SPE), and has participated in numerous committees of those organizations. Mr. Macleod is currently a director of a public energy and petroleum company listed on the TSX as well as two private technology companies.

The Board would like to thank Mr. Dales for his service and contributions to the Corporation. The Board is now comprised of the following individuals: Massimo M. Geremia, Cameron G. Vouri, Bruno P. Geremia, Wilfred A. Gobert, R. Keith MacLeod, Dennis L. Nerland, Gregory E. Peterson and Tom Spoletini.

Manitok is also pleased to announce the reconstitution of its Board committees.

The Corporation’s reserves and occupational health and safety committee (the “Reserve Committee“) of the Board is now comprised of the following directors: Messrs. MacLeod (chairperson), B. Geremia, Gobert, Spoletini and Vouri.

The Corporation’s audit committee (the “Audit Committee“) of the Board is now comprised of the following directors: Messrs. B. Geremia (chairperson), Gobert, Nerland, Peterson, and Spoletini.

The Corporation’s compensation committee (the “Compensation Committee“) of the Board is now comprised of the following directors: Messrs: Gobert (chairperson), MacLeod, Nerland, Peterson and Spoletini.
